Namemill

Terms of Service

Namemill

Version: 1.0
Effective Date: October 17, 2026

1. Introduction

These Terms of Service ("Terms") govern access to and use of the Namemill website at https://namemill.com (the "Website") and the purchase of domain names offered through the Website.

Namemill is operated by DBtune Consulting Inc., registration number 110504, incorporated on August 19, 2021, with its registered address at Trust Company Complex, Ajeltake Road, Ajeltake Island, Majuro, Marshall Islands MH96960 ("Namemill", "we", "us", or "our").

By entering into a transaction with Namemill, you agree to be bound by these Terms.

Domain name leasing is additionally governed by our Domain Name Lease Terms & Conditions, available at https://namemill.com/legal/lease. In the event of a conflict relating to a lease, the Domain Name Lease Terms & Conditions prevail.

2. Business Customers Only

Namemill provides domain name sales and leasing exclusively to business customers.

Customers must be legal entities or individuals acting in a registered business or professional capacity.

Consumer transactions for personal or non-business purposes are not accepted.

Any person entering into an agreement on behalf of a business represents and warrants that:

  • They are at least 18 years old.
  • They have the legal authority to bind the business.
  • The transaction is undertaken for business or professional purposes.
  • The information provided to Namemill is accurate and complete.

Namemill may request reasonable additional information when necessary to verify eligibility, authority, legal compliance, or transaction legitimacy.

3. Domain Listings and Availability

Domain names displayed on the Website are offered subject to availability.

Website listings, descriptions, and displayed prices do not constitute an unconditional or irrevocable offer to sell or lease.

Submitting a purchase or lease inquiry does not reserve a domain name or create a binding agreement.

Namemill reserves the right to correct listing errors, update prices, or withdraw available domain names before issuing a binding payment offer.

3.1 Reservation

When Namemill issues a payment offer for an available domain, that domain is reserved exclusively for the intended customer for 48 hours from the time the offer is sent.

During the reservation period, Namemill will not knowingly sell or lease the domain to another customer.

The USD purchase price and quoted USDT payment amount remain fixed during this period.

A reservation automatically expires if full payment is not received within 48 hours, unless Namemill expressly agrees to extend it.

Partial payment does not extend the reservation period.

Once a reservation expires, domain availability and the previous quoted price are no longer guaranteed.

4. Electronic Agreements and Acceptance

Transactions may be concluded electronically without physical signatures or paper contracts, to the extent permitted by applicable law.

Under the initial manual transaction process:

  1. The customer submits an inquiry through the Website.
  2. Namemill may request business identification and relevant transaction details by email.
  3. Namemill issues a payment offer identifying the domain, USD price, payment instructions, applicable contractual terms, and offer expiration.
  4. The customer expressly confirms acceptance of the specified contractual terms by email.
  5. The customer makes full payment in accordance with the offer.

A binding transaction agreement is formed once Namemill has received the customer's valid acceptance and confirmed full payment of an available domain under the applicable offer, subject to mandatory law.

A partial payment or an expired offer does not independently establish a right to receive the domain.

Where payment arrives after an offer expires, Namemill may accept the transaction subject to domain availability and revised payment conditions.

Electronic correspondence, transaction records, invoices, and blockchain payment confirmations may serve as evidence of contractual acceptance and performance.

5. Prices, Taxes, and Payment Currency

All prices displayed on the Website are denominated in United States dollars (USD).

Unless expressly indicated otherwise, displayed prices exclude taxes that Namemill is legally required to charge.

Customers are responsible for their own applicable taxes and reporting obligations. Namemill remains responsible for its own tax obligations.

Any taxes that Namemill is legally required to collect will be separately calculated and disclosed before payment.

5.1 Payment Method

Namemill initially accepts payment in Tether USD (USDT) on the Ethereum blockchain using the ERC20 standard.

Payments through other blockchain networks or in other digital assets are not accepted unless expressly authorized in writing.

5.2 Exchange Rate

The applicable USDT/USD exchange rate is determined using market data published by CoinGecko at the time of quotation.

Namemill will state the exchange rate and exact USDT amount payable in the payment offer.

The quoted rate and payment amount remain valid for 48 hours.

No permanent assumption that 1 USDT equals 1 USD applies.

If payment is received after the quotation expires, Namemill may recalculate the required USDT amount using the current exchange rate.

If the amount received is insufficient, the customer may be requested to pay the difference.

Blockchain transaction fees and any fees necessary for the payment to reach Namemill in full are the customer's responsibility.

6. Blockchain Payment Responsibilities

Customers are responsible for verifying:

  • The destination wallet address provided by Namemill.
  • The correct Ethereum ERC20 network.
  • The specified USDT amount.
  • The accuracy of payment instructions before initiating a transfer.

Blockchain transactions may be irreversible.

Namemill is not responsible for funds lost because a customer uses an incorrect address, unsupported network, or incorrect asset, except to the extent Namemill is responsible for providing incorrect payment instructions.

Namemill is responsible for errors in the payment details it supplies, subject to applicable law.

Payment is considered received only after the required funds have reached the designated wallet and the transaction has been sufficiently confirmed on the Ethereum network.

7. Late, Partial, and Excess Payments

7.1 Late Payments

If payment arrives after the 48-hour reservation expires, Namemill is not obligated to provide a domain that is no longer available.

If the domain remains available, Namemill may accept the payment subject to recalculation of the USDT amount at the applicable current rate.

If the domain has become unavailable, Namemill will refund the payment in accordance with Section 8.

7.2 Partial Payments

A partial payment does not entitle the customer to receive a domain or extend an existing reservation.

Namemill may notify the customer of the outstanding balance and allow a supplementary payment.

If the transaction cannot be completed, the received amount will be refunded, less actual applicable blockchain refund fees, to the extent permitted by law.

7.3 Overpayments

If a customer pays more USDT than required, the excess may be refunded upon request.

The customer bears the actual blockchain fee associated with returning an accidental overpayment.

Where the overpayment is equal to or less than the applicable network fee, the parties may agree to credit the excess toward a future payment.

An overpayment does not automatically establish additional rights to the domain or increase rent-to-own credits under a separate lease agreement.

8. Refunds

Refunds are made in USDT through the Ethereum ERC20 network.

Unless otherwise required by law, contractually required refunds will be processed within 7 calendar days after the grounds for the refund have been confirmed and the necessary payment details are available.

Refunds are normally made to the original sending wallet address.

Where a transaction cannot be completed because Namemill, through its own fault, cannot provide the purchased or leased domain after accepting payment, Namemill will refund 100% of the amount received.

In such cases, Namemill bears the blockchain fee for the refund, and the repayment obligation is not reduced by any contractual limitation of liability.

For refunds arising from customer underpayment, expired payment instructions, or accidental overpayments, actual blockchain fees may be deducted where expressly permitted by these Terms and applicable law.

Any refund restriction required by applicable sanctions or other binding legal obligations takes precedence over the foregoing refund procedure.

9. Domain Name Purchases

9.1 Sale and Transfer

Subject to receipt of full payment and satisfaction of applicable transaction requirements, Namemill will transfer the purchased domain to the buyer.

Namemill will initiate and reasonably cooperate in completing the transfer within 7 calendar days of confirmed full payment and receipt of the information necessary to effect the transfer.

Transfer completion may be delayed by ICANN policies, registrar restrictions, registry requirements, mandatory holding periods, legal proceedings, or other circumstances outside Namemill's reasonable control.

The buyer may select their preferred registrar, subject to applicable transfer rules.

Where needed, Namemill will provide the necessary authorization or EPP transfer code.

9.2 Completion of Sale

A domain sale is completed when the domain has been transferred into the buyer's control through the applicable registrar or registration process.

After completion, Namemill will provide an electronic transfer confirmation identifying the domain, completion date, registrar where known, and relevant order or invoice reference.

No separate physical transfer certificate is required unless mandated by applicable law.

9.3 Post-Transfer Responsibilities

Following transfer, the buyer is solely responsible for domain registration renewals, registrar fees, DNS configuration, security, and ongoing management.

Namemill has no obligation to provide continued domain administration or renewal services after completion unless expressly agreed otherwise.

9.4 Finality of Sale

Completed domain sales are final.

Refunds after successful transfer are not available except where required by applicable law or where Namemill has breached its contractual obligations.

10. Representations and Disclaimers

Namemill represents that it has the lawful right to sell the domain names it offers and is not aware, at the time of sale, of undisclosed restrictions preventing their transfer.

Namemill does not guarantee:

  • That a domain is suitable for any particular business or project.
  • That the buyer's intended use will not infringe third-party intellectual property rights.
  • That a domain name can be registered as a trademark.
  • That a domain will generate particular traffic, revenue, search engine rankings, or business success.
  • That a particular brand name will be available across all jurisdictions.

Customers are responsible for independently evaluating the commercial and legal suitability of domain names before purchasing.

Nothing in these Terms excludes Namemill's responsibility for its own false representations, contractual breaches, fraud, or intentional concealment of known material legal problems, where such responsibility cannot lawfully be excluded.

11. Intellectual Property and Third-Party Claims

A domain purchase transfers the relevant domain registration rights as permitted by applicable registry and registrar rules.

It does not automatically transfer third-party trademarks, copyrights, or other intellectual property.

Following completed transfer, the buyer assumes responsibility for the domain's subsequent use and associated third-party claims.

The buyer is responsible for obtaining independent legal advice and defending claims relating to the buyer's use of the domain.

Namemill is not required to finance the buyer's defense of post-transfer disputes, except to the extent resulting from Namemill's own actionable breach or misconduct.

Mandatory domain dispute resolution mechanisms, including applicable ICANN policies and the Uniform Domain-Name Dispute-Resolution Policy (UDRP), remain unaffected.

12. Website Use

Users may browse the Website, review domain listings, and submit legitimate business inquiries.

Users must not:

  • Use the Website for fraudulent or unlawful purposes.
  • Attempt unauthorized access to Website infrastructure or administrative systems.
  • Interfere with the Website's normal operation.
  • Submit misleading or fraudulent transaction information.
  • Infringe Namemill's or third parties' intellectual property rights.
  • Abuse forms or other communication channels through spam or automated attacks.

Namemill may restrict access or reject inquiries involving unlawful or abusive activity, subject to applicable law.

Website content, branding, logos, graphics, and original materials remain the intellectual property of Namemill or their respective rights holders.

13. Right to Refuse Transactions

Namemill may refuse a purchase or lease application before formation of a binding agreement, including where there are reasonable concerns regarding fraud, inaccurate information, legal restrictions, or transaction risks.

Such refusal must comply with applicable law.

After a binding agreement has been formed, the customer's contractual rights and Namemill's corresponding obligations remain enforceable in accordance with the applicable agreement.

14. Sanctions and Legal Compliance

Namemill does not knowingly enter into transactions prohibited by sanctions or other restrictions legally applicable to Namemill.

Customers represent that they are not prohibited from entering into the transaction under applicable law.

Namemill may request additional information when reasonably necessary to address compliance concerns.

No arbitrary country-wide exclusion applies under these Terms independently of applicable legal requirements.

Where compliance obligations arise after receipt of payment, Namemill will handle the transaction and any funds in accordance with binding legal requirements, including any restrictions on transfers or refunds.

15. Limitation of Liability

To the maximum extent permitted by applicable law, Namemill's aggregate liability arising out of or relating to the sale of a particular domain shall not exceed the amount actually paid to Namemill by the buyer for that domain.

Namemill shall not be liable for indirect, incidental, special, consequential, or punitive damages, including lost profits, lost revenue, lost customers, or lost business opportunities, to the extent such exclusions are legally enforceable.

These limitations do not apply to fraud, intentional misconduct, or liabilities that cannot lawfully be limited.

Any express obligation to refund a payment under these Terms remains enforceable independently of the limitation of liability.

Liability specifically arising from domain leasing is governed by the Domain Name Lease Terms & Conditions.

16. Force Majeure

Neither party shall be liable for a failure or delay in performing an affected obligation to the extent directly caused by circumstances beyond its reasonable control.

Such circumstances may include natural disasters, armed conflicts, major infrastructure outages, or binding government actions.

Ordinary financial difficulties do not constitute force majeure.

The affected party must take reasonable steps to reduce the consequences and resume performance as soon as practicable.

Payment obligations already accrued are not automatically cancelled.

If a force majeure event continues for more than 90 calendar days and materially prevents performance, either party may initiate termination of the affected agreement, subject to applicable law and the protections contained in the relevant contractual terms.

For domain leases, force majeure does not permit Namemill to terminate an otherwise functional lease merely because a disruption has continued for 90 days, nor to arbitrarily extinguish accumulated rent-to-own rights.

17. Electronic Records and Documentation

Namemill may issue invoices, payment receipts, confirmations, notices, and other contractual records electronically.

Payment documentation may include:

  • Seller and customer identification.
  • Domain name and transaction type.
  • Contractual amount in USD.
  • Amount received in USDT.
  • Applied exchange rate.
  • Transaction date and blockchain transaction hash.
  • Applicable taxes, if any.

Records of contractual acceptance, payments, invoices, and transfers may be maintained throughout the contractual relationship and for seven years after its completion, unless applicable law requires a different retention period or otherwise limits retention.

Personal data is processed in accordance with the Privacy Policy and applicable data protection legislation.

18. Communications and Notices

Email is the primary means of legally significant communication between Namemill and its customers, subject to mandatory legal requirements.

Customers are responsible for keeping their contact information current.

Namemill may provide formal notices to the email address supplied by the customer.

Electronic delivery does not require a paper duplicate or acknowledgment of reading unless expressly required by applicable law.

Namemill may maintain technical records showing transmission of notices.

Legal correspondence to Namemill should be directed to legal@namemill.com.

19. Governing Law and Dispute Resolution

These Terms shall be governed by the laws of the Republic of the Marshall Islands, excluding conflict-of-law rules, except where mandatory applicable law requires otherwise.

Before commencing ordinary contractual litigation, the parties shall first attempt to resolve the dispute through written notice and good-faith discussions for 30 calendar days.

If the dispute cannot be resolved, it shall be submitted to the competent courts of the Republic of the Marshall Islands, subject to any mandatory jurisdiction rules.

Nothing in this provision excludes or overrides applicable ICANN domain dispute resolution procedures, including UDRP, or other mandatory legal remedies.

20. Changes to These Terms

Namemill may publish updated versions of these Terms.

Each version will identify its effective date and version number.

Changes generally apply to transactions entered into after the updated terms take effect.

An amendment does not retroactively modify a completed sale or impair accrued contractual rights.

For ongoing domain leases, the original accepted Domain Name Lease Terms & Conditions and their protected commercial guarantees remain binding for the duration of uninterrupted leasing.

Subsequent lease renewals do not, by themselves, constitute acceptance of amended terms.

Changes to existing agreements require the parties' consent unless they do not adversely affect protected contractual rights or are minimally necessary to comply with binding legal requirements.

21. Severability

If any provision of these Terms is held invalid, unlawful, or unenforceable, the remaining provisions shall remain effective.

Where legally possible, the affected provision shall be interpreted or replaced to preserve its original lawful commercial purpose without unjustifiably impairing previously agreed customer protections.

22. Entire Agreement and Order of Precedence

These Terms, the applicable accepted payment offer, and any expressly incorporated documents constitute the agreement governing the relevant transaction.

Specific transaction terms expressly agreed in writing govern the corresponding commercial details, provided they do not override mandatory legal protections or protected rights under an existing lease.

For domain leasing, the Domain Name Lease Terms & Conditions prevail over these general Terms in the event of inconsistency.

No subsequent Website update or general policy revision automatically extinguishes existing contractual rights.

23. Language

The official language of these Terms and contractual communications is English.

Translations may be provided for convenience. In the event of inconsistency, the English version prevails to the extent permitted by applicable law.
