Domain Name Lease Terms & Conditions

Namemill
Version: 1.0
Effective Date: October 17, 2026
Website: https://namemill.com/legal/lease

1. Parties and Scope

These Domain Name Lease Terms & Conditions (the Lease Terms) govern the lease, use, renewal and optional purchase of domain names offered by Namemill under its lease-to-own program.

Namemill is operated by DBtune Consulting Inc., registration number 110504, incorporated August 19, 2021, registered address Trust Company Complex, Ajeltake Road, Ajeltake Island, Majuro, Marshall Islands MH96960 (Namemill, we, us).

The customer entering into a lease is the Lessee (you). The lease identifies a specific domain name (the Domain) and an initial annual rental price and purchase price in USD in a written payment offer.

The Terms of Service also apply. If these Lease Terms conflict with those general Terms on a leasing matter, these Lease Terms prevail. The Privacy Policy applies to personal-data processing.

2. Business Customers Only

Leasing is available exclusively to businesses and registered entrepreneurs acting in a business or professional capacity, not to consumers acting for personal purposes. The person accepting a lease represents that they are at least 18 years old, act for a qualifying business, and are authorized to bind it.

The initial Lease inquiry form does not require full business registration details. Namemill may request the legal business name, registration country, representative's authority and other necessary information by follow-up email before sending a payment offer; documentary verification is not routinely required but may be requested where reasonably necessary or legally mandatory.

3. Inquiries, Offers, Reservation and Contract Formation

A Website listing or submitted Lease inquiry is not a binding offer, does not reserve the Domain and does not guarantee availability. Namemill may decline an inquiry before an agreement is formed for lawful reasons, including credible fraud or compliance concerns.

For the initial manual workflow, Namemill emails a payment offer specifying the Domain, the annual rent in USD, current purchase price in USD, applicable tax, the quoted USDT amount, exchange rate, payment wallet/network, the 48-hour deadline, and the specific version of these Lease Terms being accepted.

Sending an offer creates an exclusive 48-hour reservation for that customer: Namemill will not knowingly sell or lease the Domain to another party during this period. The reservation expires without full timely payment unless Namemill expressly extends it. Partial payment alone does not extend it.

The Lessee explicitly accepts the specified version by a reply email, and makes full payment. The lease agreement is formed after Namemill receives valid acceptance and confirms full payment for an available Domain under the applicable offer, subject to mandatory law. Acceptance alone, partial payment or an expired offer does not confer control of the Domain. Namemill sends electronic confirmation of acceptance and payment.

If payment arrives after expiration, Domain availability is not guaranteed. If the Domain is still available, Namemill may accept the late payment subject to the agreed exchange-rate recalculation; if it is unavailable, the payment is refunded under Section 17.

4. Nature of the Lease and Ownership

Throughout the lease, the Domain remains registered to and owned or controlled by Namemill or its authorized holding entity. The Lessee receives an exclusive contractual right to use the Domain for lawful business activity during the lease, subject to these Lease Terms. No ownership or registrant-transfer right arises until completion of a purchase under Section 11.

The Lessee may use the Domain for websites, shops, applications, email and other lawful commercial services, including through service providers acting on the Lessee's behalf. The Lessee may configure the necessary nameservers or DNS settings through the agreed operational process. The Lessee may not sell the Domain, transfer the lease, sublicense or sublease Domain rights without the consent expressly required in these Lease Terms.

5. Activation and Initial Term

The first paid lease term lasts 12 months and begins when Namemill actually makes the Domain available for the Lessee's use and DNS management, not when payment is sent. Namemill emails confirmation of the activation date and the start and end dates of the term.

Namemill maintains and timely renews registration of the Domain during paid lease periods, subject to applicable registry and registrar requirements. The Lessee is responsible for their DNS choices, website, hosting, email and data. Namemill does not warrant uninterrupted availability of third-party registrars, networks, hosting or DNS services.

6. Annual Rent, Price Protection and Renewal

Annual rent is prepaid in USD-denominated amounts, settled as provided in Section 16. A lease renews for successive 12-month periods if the next period's rent is timely paid; payment within the grace period under Section 8 preserves uninterrupted continuity. Renewal periods run from the previous term's expiry, not from the eventual payment date.

Binding lifetime cap for an uninterrupted lease: Namemill may raise the annual rental price at a renewal by no more than 5% compared with the immediately preceding annual rental price. Namemill may make a smaller increase or no increase. Namemill cannot raise the price within an already paid term, reset the 5% limit, or use a later published version of these Lease Terms to evade the cap.

If rent will rise, Namemill emails notice at least 60 calendar days before the renewal date. Namemill emails the next annual invoice 30 calendar days before the current term expires. Where rent is unchanged, that invoice is sufficient price notice. The Lessee may decline renewal without penalty.

If an invoice remains unpaid, Namemill sends reminders 7 days before expiry, on expiry (announcing the grace period), and 7 days before the grace period ends, to the Lessee's registered email address.

7. Lessee Cancellation

The Lessee may choose not to renew, or request cancellation at any time. Rent already paid is non-refundable and unused paid time is not prorated. Unless the Lessee requests earlier shutdown, the Domain remains available until the end of the paid term, provided no grounds for lawful suspension exist.

No cancellation penalty applies. Once the lease actually terminates, accumulated credits toward purchase lapse, except where applicable mandatory law or an independently completed purchase requires otherwise. Cancellation notice does not itself cause forfeiture while an already paid lease remains in force.

8. Nonpayment and 30-Day Grace Period

If the new annual rent has not been received by the end of the paid term, a 30-calendar-day grace period starts immediately. During that period, the existing Domain and DNS use continue without interruption due solely to the unpaid renewal, and the Lessee may pay the renewal invoice to maintain continuity and all accumulated rent-to-own credits.

Payment received during the grace period renews the lease for 12 months measured from the previous expiry. At the end of the grace period, if full payment has not been received, Namemill may lawfully terminate the lease, reclaim Domain control, change DNS and make the Domain available again. Accumulated purchase credits then lapse, subject to applicable law.

9. Right to Purchase — Lease-to-Own

The Lessee has a continuing option to purchase the Domain at any time during an uninterrupted lease. The offer identifies the initial USD purchase price (the Buyout Price).

At each annual renewal, the percentage increase in the Buyout Price, if any, may not exceed the percentage increase actually applied to annual rent for that renewal, which itself cannot exceed 5%. If rent does not increase, the Buyout Price does not increase. Namemill cannot independently reprice the Buyout Price upward during the lease.

100% of all rental amounts actually paid and retained as rent under this uninterrupted lease are credited against the then-current Buyout Price, including payments for renewed years. Refunds, accidental overpayments and other amounts not treated as rent do not earn credits. Namemill maintains a ledger of rental payments and their accumulated credits.

The payable buyout balance is:

max(0, current Buyout Price in USD − cumulative credited rent in USD).

The Lessee may elect to purchase by requesting a buyout statement, accepting the corresponding payment offer and paying any remaining balance under the payment rules below. There is no early buyout surcharge. Already-paid rent, including any unused portion of the current rental year, remains fully credited and is not additionally refunded.

If credits equal or exceed the current Buyout Price, the outstanding buyout balance is zero. The Lessee may request transfer of the Domain into ownership at any time without an additional purchase payment. Transfer is optional, not automatic. If the Lessee chooses not to take transfer, the lease continues and the full annual rent remains payable at renewals; there is no free ongoing rental or at-cost maintenance period. Further rent does not create a refund or cash claim based on credits exceeding the Buyout Price.

The lease ends when the Domain is actually transferred to the buyer as owner/registrant under Section 11. Until then, Namemill maintains the existing DNS settings, absent a lawful reason to intervene, and applicable rent and lease obligations remain in effect.

10. Tenant Business Transfers

The Lessee may transfer its lease in connection with sale, transfer or reorganization of its business with Namemill's prior written consent, which shall not be unreasonably withheld. The successor must accept all the Lessee's obligations. The original lease conditions, 5% protection and entire accumulated rent-to-own credit follow the validly assigned lease. Such assignment does not itself transfer Domain ownership.

Other assignment, resale, sublicensing or subleasing of rights under the lease requires Namemill's prior written consent.

11. Completing a Buyout and Domain Transfer

After full buyout payment, or a valid zero-balance buyout request, and receipt of the transfer details reasonably necessary to proceed, Namemill shall act to transfer the Domain to the Lessee (or permitted business successor) within 7 calendar days, subject to applicable ICANN, registry and registrar rules, mandatory transfer locks or external legal restrictions. Namemill provides an Auth/EPP code where required. The Lessee may choose the receiving registrar, subject to those rules.

Namemill will maintain existing DNS settings pending completion as reasonably possible. The parties will coordinate any registrar or nameserver change to reduce disruption. The sale is completed and the lease ends when registration control is actually transferred. Namemill then confirms completion by email; responsibility for future registration, renewal and management passes to the buyer.

12. Sale of Namemill or the Domain During a Lease

Namemill may transfer its business, portfolio or a leased Domain only if the successor contractually assumes the full existing lease, including continuing renewals, 5% rent cap, buyout pricing restriction, purchase option and all accrued credits. Namemill must not transfer a leased Domain to a party unwilling to assume these obligations. Registrar transfer alone is not deemed assumption of the contract.

13. Trademarks and Intellectual Property

The Lessee may develop its brand and register trademarks connected with its use of the Domain. Such registration does not by itself convey the Domain, waive its Buyout Price, or modify the agreed purchase mechanism. After lawful lease termination, a former Lessee must cease using the Domain and must not unlawfully obstruct its reassignment or later sale or lease. Namemill does not thereby acquire ownership of the Lessee's trademarks, original content or other intellectual property.

Nothing in these Lease Terms overrides mandatory trademark rights, court orders or applicable domain dispute mechanisms, including UDRP.

14. Lawful Use and Responsibilities

The Lessee is responsible for its business operations, content, services, email practices, DNS decisions and compliance with applicable law, including third-party intellectual property rights. Namemill does not undertake general, continuous monitoring of Lessee-hosted content and is not contractually responsible for the Lessee's conduct except where liability cannot lawfully be disclaimed.

The Lessee must not use the Domain for fraud, phishing, malware distribution, unlawful activity or material infringement of others' rights.

For an ordinary remediable breach, Namemill shall notify the Lessee by email and allow 14 calendar days to cure. For phishing, malware, fraud or other serious misuse presenting imminent harm, Namemill may immediately suspend Domain use to the extent reasonably necessary to prevent damage. Early termination of a paid lease is permitted only for a material breach under these Lease Terms, not at Namemill's convenience; immediate suspension is not automatically permanent termination.

On lawful early termination caused by the Lessee's material breach, prepaid rent is not refunded, accumulated rent-to-own credits lapse, and the Domain returns to Namemill. No additional automatic termination penalty is imposed, subject to applicable law.

15. Ending the Lease and DNS Transition

Following lawful termination, Namemill may reclaim control, modify Domain DNS settings and list the Domain for sale or lease. Except in serious-abuse situations, Namemill provides advance notice of the termination date when reasonably possible.

The Lessee is responsible for moving services, making backups and securing email, website and other data before termination. Namemill is not obligated to store Lessee content or migrate the Lessee's systems and must not grant any new customer access to the previous Lessee's private data.

16. USD Prices and USDT ERC20 Payments

Contract prices, rental amounts, credits and buyout calculations are denominated in USD. Payments are initially accepted in USDT on Ethereum (ERC20) only, unless expressly agreed otherwise in writing.

Namemill calculates the required USDT amount using the then-current USDT/USD market rate from CoinGecko and identifies the precise payment amount, exchange rate, destination address and network in its email offer. The quote, including the USDT amount, is valid for 48 hours. 1 USDT is not contractually assumed always to equal 1 USD. The customer pays Ethereum/network fees so the full specified USDT amount arrives.

Payments after the 48-hour quote validity may be recalculated at the current rate. If the resulting amount is sufficient and the Domain remains available, Namemill may accept it; otherwise the customer may top up or, if unwilling, receive a refund under Section 17. No Domain activation, buyout transfer or reservation extension results from partial payment alone.

The customer is responsible for using the exact destination address, USDT token and Ethereum ERC20 network and the correct amount. Namemill bears responsibility for errors in the payment instructions Namemill itself provides, as permitted by law. Payment is received after the designated wallet receives the required USDT and adequate network confirmation.

17. Refunds, Excess Amounts and Failed Transactions

Contractually due refunds, including payments for a Domain that became unavailable after reservation expiry, unsuccessful partial payments and requested excess amounts, are processed in USDT ERC20 within 7 calendar days after the refund grounds have been confirmed and necessary refund wallet details are available, subject to binding sanctions or legal restrictions. Refunds go by default to the original sending wallet.

If Namemill, through its own fault, cannot provide a fully paid Domain, it refunds 100% of the USDT received, pays the outbound network fee and does so within that 7-day period; the duty to repay is not reduced by the general liability cap.

For a late or partial payment that cannot proceed, actual blockchain refund fees may be deducted where agreed and lawful. An accidental overpayment is returned upon request less the actual outbound network fee borne by the customer. Where an excess does not exceed that network fee, the parties may agree to credit it toward a future payment. Accidental overpayments do not count as rent or purchase credits.

18. Tax and Transaction Documents

Displayed prices are exclusive of legally applicable taxes. Namemill collects and states separately any taxes it must charge; each party meets its own tax and reporting responsibilities. B2B status alone does not guarantee exemption from tax.

Namemill sends an English-language invoice and/or payment receipt by email after payment, recording the parties' identifying details, Domain, transaction type, USD amount, USDT amount, rate, transaction date, blockchain hash and applicable taxes. No paper contract or separately signed handover certificate is required unless applicable law says otherwise.

19. Liability and Technical Availability

Namemill is responsible for timely maintaining registration of the Domain during the paid term. It does not guarantee uninterrupted operation of registrars, third-party DNS providers, web hosting or other external services and is not responsible for disruptions caused by the Lessee's own configurations or systems.

To the maximum extent permitted by applicable law, Namemill's aggregate liability arising from a lease is limited to the rent actually paid by the Lessee during the preceding 12 months. Indirect or consequential damages, lost profits, lost revenue, lost customers and lost business opportunities are excluded to the extent legally permitted.

The cap and exclusions do not apply where law prohibits them, including applicable liability for fraud or intentional misconduct. Express repayment obligations under Section 17 are not limited by the cap.

20. Force Majeure

Neither party is liable for delay to the extent directly caused by extraordinary circumstances outside its reasonable control, including natural disasters, wars, major infrastructure failures and binding government actions. Ordinary financial hardship is not force majeure. Each affected party must reasonably mitigate harm and resume performance; accrued payment obligations are not cancelled.

If force majeure continues for more than 90 calendar days and materially prevents performance, either party may seek termination as permitted by law. Namemill may not terminate a functioning lease merely because force majeure lasted 90 days while the Domain remains registered and usable. If termination becomes legally or technically unavoidable, paid-term rights and accumulated buyout rights must be addressed fairly and cannot be arbitrarily extinguished.

21. Notices and Electronic Evidence

Email is the primary official channel for contract notices, invoices, renewals, price changes, breach notices and termination communications, subject to mandatory law. The Lessee must maintain a working contact address. Namemill retains reasonable evidence of sending notices; paper delivery and read receipts are not generally required unless legally mandatory. Namemill may additionally use other channels for critical notices.

The parties acknowledge that explicit email acceptance of an identified version of the Lease Terms, invoices, blockchain receipts and electronic confirmations may constitute evidence of contract formation and performance, to the extent permitted by law.

22. Protected Original Terms and Amendments

The version of these Lease Terms accepted upon entering the initial lease governs that lease for its entire uninterrupted duration, including all annual renewals. A renewal or annual payment alone does not constitute acceptance of a newer published version.

Namemill may update terms for new leases, but may not unilaterally worsen the original Lessee's protected rights. Specifically, it may not alter the 5% annual rent ceiling, buyout-price increase linkage, 100% rent credit, ongoing buyout option, 30-day grace period, or good-standing annual renewal entitlement to the Lessee's disadvantage.

Existing leases may be changed by mutual agreement, or to the minimum extent necessary if an applicable law or binding authority requirement makes a provision unlawful. Namemill will explain any mandatory change and preserve all unaffected protections. A legal-change exception cannot be used as a pretext for arbitrary rent increases or denial of buyout rights.

Each published revision must bear an effective date and version number, and Namemill keeps a copy of the specific version accepted for each transaction.

23. Records and Privacy

Namemill maintains the accepted contractual version, assent emails, offers, invoices, payment and Ethereum transaction records, activation and expiry dates, renewal history, rent-to-own ledger and ownership-transfer confirmations during the agreement and generally for 7 years after its end, unless applicable law requires a different period or limits personal-data retention.

Personal data is handled under the Privacy Policy and applicable data protection law.

24. Sanctions and Legal Compliance

Namemill will not knowingly enter into transactions prohibited by sanctions or other rules legally applicable to it. No arbitrary country blacklist is established by these Lease Terms. Namemill may request additional information where reasonable concerns or mandatory checks arise; if a legal restriction is discovered after receiving funds, the funds and any refund will be handled as required by law.

25. Governing Law and Disputes

These Lease Terms are governed by the laws of the Republic of the Marshall Islands, subject to overriding mandatory law. Before ordinary court proceedings, the parties shall provide written notice of the dispute and attempt good-faith resolution for 30 calendar days.

Unresolved contractual disputes are submitted to the competent courts of the Republic of the Marshall Islands, subject to mandatory jurisdiction requirements. Mandatory ICANN rules and domain dispute resolution processes, including UDRP, remain unaffected.

26. Severability, Language and Complete Agreement

If a term is invalid or unenforceable, the remaining terms survive. Where law permits, the affected provision should be interpreted or replaced with the nearest lawful equivalent while preserving the agreed Lessee protections.

The English-language version is authoritative to the extent legally permitted. Translations are for convenience only unless mandatory law provides otherwise.

These Lease Terms, the applicable accepted payment offer, the general Terms of Service and expressly incorporated written transaction details make up the relevant lease agreement; specific agreed commercial details apply without weakening the non-waivable protected rights in Section 22.
